SkillOps Terms of Service

These Terms of Service ("Terms") govern access to and use of SkillOps, including the SkillOps web application, managed skills gateway, documentation, APIs, support services, and related services (collectively, the "Service").
The Service is provided by Enchiridion Labs LLC, a California limited liability company, unless an Order Form identifies another contracting entity ("SkillOps," "we," "us," or "our"). "Customer," "you," or "your" means the company or organization that creates an account, signs an Order Form, or uses the Service, together with its authorized users.
If you use the Service on behalf of an organization, you represent that the Service is being acquired for business or professional use and that you have authority to bind that organization to these Terms. If you do not agree to these Terms, do not use the Service.
1. The Service
SkillOps helps organizations create, review, approve, publish, distribute, observe, and govern AI-agent skills and related workflow instructions. The Service may include:
- skill lifecycle management, review, approval, versioning, audit trails, and governance controls;
- a managed MCP gateway for distributing approved skill content to compatible AI-agent clients and host environments;
- usage, audit, and analytics surfaces for administrators and skill owners;
- subscription billing and account management through Stripe; and
- documentation, support, and related operational tooling.
The Service is designed for business and professional use. It is not intended for consumer, household, medical, emergency, or safety-critical use.
2. Accounts And Administrators
Customer is responsible for all activity under its account and for maintaining accurate account, billing, and administrator information. Customer must ensure that only authorized users access the Service and must promptly remove access for users who no longer need it.
Administrators may configure users, roles, SSO settings, billing settings, skills, review policies, publication workflows, and gateway access. Customer is responsible for administrator actions and for reviewing the effect of any skill or workflow before it is published or used.
3. Customer Data
"Customer Data" means content, files, skill instructions, metadata, prompts, workflow documentation, user records, configuration, usage data, audit records, and other information submitted to or generated through the Service on behalf of Customer. Customer owns Customer Data.
Customer grants SkillOps a non-exclusive, worldwide license to host, process, transmit, copy, display, and use Customer Data only as needed to provide, secure, support, and maintain the Service, comply with law, and enforce these Terms.
SkillOps will not use Customer Data to train machine-learning or generative-AI models or to improve products for other customers. SkillOps may use deidentified, aggregated operational telemetry to improve reliability, security, and product operation. Human access to Customer Data is limited to authorized support, security, or legally required work.
Customer is responsible for the legality, accuracy, quality, and rights to Customer Data, including any personal data or confidential information contained in skills, prompts, documents, logs, or workflows.
Customer must not submit protected health information, payment-card data, government identifiers, highly sensitive personal data, export-controlled technical data, or regulated financial data unless SkillOps has expressly agreed in writing that the Service is configured for that data type.
4. Skill Content, AI Systems, And Human Review
SkillOps helps govern skill content and workflow instructions, but Customer is responsible for reviewing and approving skill content before use. Customer is also responsible for deciding whether any AI-agent output, workflow decision, or automated action is appropriate.
AI systems and host clients can behave unpredictably, may make mistakes, and may not support every MCP or skills-related capability consistently. SkillOps does not guarantee that third-party AI models, agent hosts, MCP clients, local shims, or other external systems will follow skill content exactly, prefer managed skills over local instructions, or produce accurate, safe, complete, compliant, or non-infringing output.
Customer must maintain appropriate human review, testing, security review, and change-management processes for all skill content and AI-assisted workflows.
5. Acceptable Use
Customer and its users may not:
- use the Service unlawfully or in violation of third-party rights;
- use the Service to create or distribute malware, credential theft tools, exploit code, spam, phishing, abusive content, or deceptive systems;
- interfere with, scan, overload, or disrupt the Service or its infrastructure;
- attempt to bypass authentication, authorization, tenant isolation, usage limits, rate limits, or billing controls;
- reverse engineer, scrape, or copy the Service except as permitted by law;
- use the Service to make automated decisions with legal or similarly significant effects without appropriate human review and legal basis;
- submit data that Customer is not authorized to process through the Service; or
- use the Service for regulated workloads unless expressly agreed in writing.
SkillOps may suspend access if we reasonably believe Customer's use creates a security, legal, operational, or billing risk.
6. Subscriptions, Billing, And Taxes
Subscription plans, pricing, limits, and included features are shown in the Service, on an Order Form, or in an applicable checkout flow. Unless otherwise stated, subscriptions are billed in advance, renew automatically, and continue until canceled.
Self-service payments are processed by Stripe. SkillOps does not store full payment-card or bank-account details. Customer authorizes SkillOps and Stripe to charge the selected payment method for subscription fees, taxes, and other authorized charges.
Unless an Order Form states otherwise:
- monthly subscriptions renew each month until canceled;
- cancellation takes effect at the end of the current subscription period;
- one first self-service purchase per organization is eligible for a full refund if requested within 14 days of purchase and there has been no meaningful production use;
- renewal charges are eligible for refund if requested within 72 hours of renewal and there has been no post-renewal production use;
- meaningful production use includes publishing a production skill or invoking the managed gateway;
- outside those grace windows, partial-month refunds are not provided except where required by law, expressly stated in writing, or approved as a billing-error or goodwill adjustment;
- upgrades take effect immediately and may result in prorated charges or credits, while downgrades take effect at the next renewal; and
- Customer is responsible for applicable taxes, duties, levies, and similar governmental charges, excluding taxes on SkillOps income. Stripe Tax may calculate taxes from Customer billing address, tax ID, and transaction data.
SkillOps will provide at least 30 days' email notice before a price increase or other material commercial change, and a price increase will take effect no earlier than Customer's next renewal. If Customer does not agree to a change, Customer must cancel before it takes effect.
7. Cancellation
Customer may cancel a self-service subscription through the billing management area of the Service or through the Stripe Customer Portal when available. If online cancellation is unavailable, Customer may request cancellation by contacting vh@vivekhaldar.com.

8. Third-Party Services
The Service may interoperate with third-party services, including identity providers, AI-model providers, AI-agent hosts, MCP clients, cloud providers, Stripe, analytics providers, communication tools, or customer-selected systems. Third-party services are governed by their own terms and policies. SkillOps is not responsible for third-party services, third-party content, or actions taken by Customer through those services.
9. Confidentiality
"Confidential Information" means non-public information disclosed by one party to the other that is marked confidential or should reasonably be understood to be confidential, including Customer Data, non-public product information, security information, pricing, credentials, and business plans.
The receiving party will use Confidential Information only to perform under these Terms, will protect it using reasonable care, and will not disclose it except to personnel, contractors, subprocessors, advisors, or service providers who need to know it and are bound by confidentiality obligations. Confidential Information does not include information that is public, independently developed, lawfully received from another source, or already known without a confidentiality obligation.
10. Security
SkillOps will maintain reasonable administrative, technical, and organizational measures designed to protect Customer Data. Current security commitments are described in the Security Appendix. Customer is responsible for configuring the Service securely, managing users and roles, protecting credentials, reviewing third-party integrations, and maintaining secure endpoint and AI-agent environments.
11. Privacy And Data Processing
The Privacy Policy explains how SkillOps collects, uses, and shares personal data. To the extent SkillOps processes personal data in Customer Data as a processor or service provider, the Data Processing Addendum in the Security Appendix applies unless Customer and SkillOps sign a separate data processing agreement.
12. Ownership And Feedback
SkillOps and its licensors own the Service, software, documentation, templates, workflows, designs, APIs, and other materials we provide, including all intellectual property rights in them. Except for the rights expressly granted, no rights are transferred.
Customer may provide feedback, suggestions, or ideas. SkillOps may use feedback without restriction or compensation, provided that we do not publicly disclose Customer Confidential Information in doing so.
13. Beta And Preview Features
SkillOps may offer beta, preview, experimental, or limited-availability features. Those features may be incomplete, change without notice, contain errors, or be discontinued. Beta and preview features are provided "as is" and should not be used for production-critical workflows unless SkillOps expressly agrees otherwise in writing.
14. Support And Availability
SkillOps will use commercially reasonable efforts to provide and support the Service. Unless a separate Order Form or service-level agreement states otherwise, SkillOps does not guarantee uptime, response times, or resolution times.

15. Warranties And Disclaimers
Each party represents that it has authority to enter into these Terms.
Except as expressly stated in these Terms, the Service is provided "as is" and "as available." To the maximum extent permitted by law, SkillOps disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, uninterrupted operation, and that the Service or any AI output will meet Customer's requirements.
16. Indemnification
Customer will defend, indemnify, and hold harmless SkillOps from claims, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from Customer Data, Customer's use of the Service in violation of these Terms, Customer's violation of law, or Customer's use of AI outputs or third-party services.
SkillOps will defend Customer from third-party claims alleging that the Service, as provided by SkillOps and used as permitted by these Terms, infringes a U.S. patent, copyright, trademark, or trade secret, and will pay damages finally awarded or amounts agreed in settlement. SkillOps has no obligation for claims arising from Customer Data, modifications not made by SkillOps, combinations with third-party products or services, beta features, or use after SkillOps provides a non-infringing alternative or terminates the affected Service.
The indemnified party must provide prompt notice of a claim and reasonable cooperation. The indemnifying party controls the defense and settlement, but may not settle a claim in a way that admits fault by or imposes non-monetary obligations on the indemnified party without its prior written consent. Each party must take reasonable steps to mitigate covered losses.
17. Limitation Of Liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill, even if advised of the possibility.
Except for payment obligations, fraud, willful misconduct, misuse of the other party's intellectual property, or liability that cannot be limited by law, each party's total liability arising out of or related to the Service will not exceed the amounts paid or payable by Customer to SkillOps for the Service in the 12 months before the event giving rise to liability. Each party's total liability for confidentiality violations, security incidents, data-protection obligations, and indemnification obligations will not exceed two times that amount.
18. Term And Termination
These Terms begin when Customer first accepts them or uses the Service and continue until all subscriptions and Order Forms expire or are terminated.
Either party may terminate for material breach if the breach is not cured within 30 days after written notice. SkillOps may suspend or terminate access immediately for security risks, legal risks, non-payment, or material violations of the Acceptable Use section.
Upon termination, Customer's right to use the Service ends. SkillOps may delete Customer Data after the retention period described in the Privacy Policy or an applicable Order Form. Sections intended to survive, including confidentiality, payment obligations, disclaimers, limitations of liability, and dispute provisions, will survive.
19. Publicity
SkillOps will not use Customer's name, logo, testimonial, or identity in a case study, press release, customer list, or other public reference without Customer's prior written approval.
20. Export And Sanctions
Customer may not use the Service in violation of export-control, sanctions, or anti-corruption laws. Customer represents that it is not located in, organized under the laws of, or ordinarily resident in a sanctioned jurisdiction, and is not on a restricted-party list.
21. Changes To These Terms
SkillOps may update these Terms from time to time. SkillOps will provide at least 30 days' email notice before a material change and will apply the change prospectively no earlier than the next renewal, except that a change reasonably necessary for security, abuse prevention, or legal compliance may take effect sooner. The notice will identify the effective date and cancellation method.
22. Governing Law And Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. The parties consent to exclusive jurisdiction and venue in the state courts located in Orange County, California, and the United States District Court for the Central District of California, except that either party may seek injunctive relief in any court of competent jurisdiction.
